Terms and conditions
These terms apply to all website design and optimisation services offered by Website Optimisation Limited (we, us). By appointing us to provide website planning, design, or optimisation services you (the client) are agreeing to the following terms and conditions.
This document, and all agreements between Website Optimisation Limited and any other party will be governed by English law and regulated by English Courts. By agreeing to these terms and conditions your statutory rights are not affected.
If any part of these conditions is found to be void or unenforceable, it will be severed from the rest of the conditions but this will not affect the validity of the remaining conditions, which will remain valid and enforceable.
We reserve the right to suspend or modify our services at any time provided that there is a justifiable reason for doing so, such as a breach of any of these terms.
Availability to start work
We may not have availability to start work immediately on your design or optimisation project but will agree with you a date by which work will start. The customer is responsible for pointing your domain name from their previous provider to us. 50% deposit must be paid before commencement of work on a customer’s web site. All content must be provided by the customer before commencement of work on a customer’s web site. Website Optimisation Limited are not liable for any losses or problems caused by errors or admissions, or by the failure of materials to appear on any specified date, at any time, or in any specified location.
Information supplied by you
Any people referred to in content that you give us including images or text is assumed to have the consent of the associated persons for publication on the profile. We reserve the right to refuse to create a business profile for a product or service which we judge to be unfit for publication on the internet. This includes, but is not limited by, sites containing adult oriented material, sites which promote ethnic, social or religious discord, and sites which infringe copyright or do not comply with UK laws.
Browser and Screen Resolution compatibility
We aim to design web pages and profiles which display acceptably in Windows Internet Explorer 5, 6 and 7 and Firefox, and screen resolution 1024 by 768 unless stated otherwise, but cannot accept responsibility for pages which do not display acceptably in less common browsers, or in versions of browsers released after pages have been designed.
Website hosting
As part of our contract with you to provide website design and optimisation services, we may register domain names, or arrange website hosting on your behalf. We have selected quality suppliers for this purpose on the basis of their track record, reliability, and value for money. We can accept no responsibility for any loss of service or future price changes from external domain name or website hosting providers as this is outside of our control. However, we will do our utmost to find out the status of any server downtime, and if a server supplier proves consistently unreliable, we will, at your request, transfer to an alternative provider at no cost to you.
Additional terms relating to website design
We may not have availability to start work immediately on your website but will agree with you a date by which work will start.
Once Website Optimisation Limited submit a design the customer has seven days to approve or disapprove of the design by providing us with one comprehensive snag list stating all errors, omissions and additions. Website Optimisation Limited will make up to a maximum of 3 design concepts before additional charges will be applied to a customers project. Once a design has been accepted and agreed by the customer, changes and additions may be chargeable. If content / acceptance is not received within 1 months of order placement, an invoice will be sent for the balance.
When both you and Website Optimisation Limited agree that the work has been completed according to the specification, we will publish the website. At this point we will invoice you for the outstanding balance. All invoices are payable within 14 days of the invoice date. Any maintenance or optimisation of the site after publication will be subject to a separate fee and contract. Website Optimisation Limited reserve the right to make extra charges should the customer exceeds their plan's bandwidth. The customer will be informed of this.
In the event that pending invoices are overdue, a late payment penalty may be enforced on late invoices along with suspension of email and web services. Copyright responsibility lies solely with the customer. This extends to any material published on our servers and includes web sites Website Optimisation Limited may have designed.
You agree that we may insert at the foot of each page of the site a discreet link to www.websiteoptimisationltd.co.uk saying ‘Website design by Website optimisation limited’ or similar words.
Exclusivity
Unless an exclusive agreement has been made between us, this contract does not preclude Website Optimisation Limited from carrying out search engine marketing services for any other company or individual in the same or a related field to your business.
Availability of profiles and search engine listings
We have had a successful track record in achieving high visibility in the search engines for our clients over a continuous period. However, we cannot guarantee achieving a particular position for a specific keyword term in individual search engines, or the time it will take to achieve a specific position, as these factors are influenced by issues outside of our control.
We can accept no responsibility or liability if a particular search engine, online directory or search site chooses not to list your website or business profile, as this is outside of our control. We do not accept any responsibility for any action beyond our control that may affect your services. We are not responsible for the content of any third party linked site.
We make every effort to maintain the position of your website and business profile in the search engines, but cannot be held responsible for lapses in the service or changes to their search engine positions due to factors beyond our control, such as a change in search engine algorithms or down time on the server hosting.
Contract period
A minimum contract period of 18 months applies to the rental of optimized profiles. After this period, either party may terminate the contract after giving 1 month’s notice in writing of their intention to do so.
The placing of an order through Website Optimisation Limited is deemed an acceptance of our terms and conditions.
Privacy Policy
We take privacy and confidentiality seriously. We therefore comply with the principles of the United Kingdom Data Protection Act 1998. This act states that personal data will be:
> Fairly and lawfully processed
> Processed for limited purposes
> Adequate, relevant and not excessive
> Accurate
> Not kept longer than necessary
> Processed in accordance with the data subject's rights
> Secure
If you instruct us to provide any services your information will be securely held in our client database. If you contact us for any other reason your details may be kept for a period of time on our database in order that we may be able to identify you should you wish to contact our firm again. We do not disclose any of your personal details to third parties. Apart from information provided by you in emails and in our feedback form, this web site does not capture or store any personal information.
